Terms of Service & Licensing

1. Proprietary Software License

Tacit is a commercial, closed-source proprietary desktop application developed and distributed by Tacit Software Inc. Upon purchasing a license, you are granted a non-exclusive, non-transferable, revocable license to use the software according to your chosen plan:

• Starter Edition (Free): Granted for personal use on your Mac computers with on-device MLX speech transcription and local typing features.
• Pro Subscription (Monthly / Yearly): Grants 1 licensed user active access across up to 2 personal Mac computers simultaneously (e.g. laptop and desktop), including continuous software updates and unlimited hosted Cloud AI intelligence during the paid billing period.

2. Intellectual Property Rights

All software binaries, UI designs, algorithms, documentation, and trade secrets related to Tacit remain the exclusive intellectual property of Tacit Software Inc. Decompilation, reverse engineering, unauthorized redistribution, or resale of license keys is strictly prohibited.

3. Cloud AI Service Availability & Fair Use

Pro subscriptions include access to high-performance Cloud AI features. While usage is unlimited for standard individual workflow, automated abuse, bulk scraping, or non-human bot traffic through client hooks is subject to throttling or account suspension to protect overall service quality.

4. Warranty Disclaimer

Tacit is provided "as is". While we test rigorously for macOS stability and battery efficiency, we do not warrant that software operations will be error-free or completely uninterrupted.

5. Governing Law

These terms shall be governed by and construed in accordance with applicable laws governing commercial digital software sales.
